These Terms of Use (“Terms”) govern your access to and use of scivas.com (the “Site”) and any related pages, forms, content, and services provided by SCIVAS LIMITED (“SCIVAS,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1) Who may use the Site

The Site is intended for business users, including purchasing teams, engineers, integrators, and resellers. You may use the Site only if you can form a binding contract with SCIVAS and you are using the Site for lawful business purposes. If you use the Site on behalf of a company, you represent that you have authority to bind that company to these Terms.

2) Changes to the Site or these Terms

We may update the Site and these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the “Last updated” date. Your continued use of the Site after changes become effective means you accept the revised Terms.

3) Using the Site

A. Permitted use

You may view, download, and print pages from the Site for your internal business evaluation and purchasing purposes.

B. Prohibited use

You must not:

  • misuse the Site or interfere with its normal operation;
  • attempt to gain unauthorized access to any system, account, or data;
  • use automated scraping, crawling, or harvesting without our prior written permission;
  • upload or transmit malware, spam, or harmful code;
  • submit false or misleading information in RFQ or contact forms;
  • infringe intellectual property rights or violate any applicable law;
  • use the Site to compete unfairly with SCIVAS, including copying product descriptions or images for redistribution.

4) Quotes, pricing, and product information (B2B notice)

A. Informational content

Product descriptions, images, specifications, tables, and downloadable materials are provided for general reference. Manufacturing processes and product specifications may change. We do not guarantee that any information on the Site is complete, current, or error-free.

B. Quotes and RFQs

Any quotation, price range, MOQ, lead time, or availability shown on the Site is for reference only and does not constitute a binding offer. A binding offer (if any) will be provided in writing by SCIVAS (for example, via email or a formal quotation document) and may be subject to validity periods and additional terms.

C. Samples

Sample availability, pricing, shipping, and eligibility may vary by product and destination. Samples are provided for evaluation and may not be resold.

5) Orders and business terms

Purchases are governed by the quotation, proforma invoice, sales order, or other written agreement issued by SCIVAS, which may include payment terms, taxes, shipping terms (Incoterms), warranty terms, and return policies. If these Terms conflict with a signed written agreement, the written agreement controls for that transaction.

6) Accounts (if available)

If the Site offers account creation, you are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must promptly notify us of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

7) Reviews, comments, and other user content

If the Site allows you to submit reviews, comments, ratings, files, or other content (“User Content”), you:

  • represent you have the rights to submit the User Content and it does not violate any law or third-party right;
  • agree not to submit confidential information, personal sensitive data, or trade secrets;
  • grant SCIVAS a worldwide, non-exclusive, royalty-free license to host, display, reproduce, modify (for formatting), and distribute the User Content for operating and promoting the Site and our products.

We may remove or moderate User Content at our discretion, but we do not guarantee that all User Content will be reviewed.

8) Intellectual property

Except as expressly allowed, you may not copy, reproduce, publish, distribute, or create derivative works from the Site content without our prior written permission.

Trademarks and third-party brands referenced on the Site (for example, chip or standards names) are the property of their respective owners and are used for identification purposes only.

9) Third-party links

The Site may contain links to third-party websites. We do not control and are not responsible for third-party sites, their content, or their privacy practices. Accessing third-party links is at your own risk.

10) Compliance, export controls, and acceptable conduct

You agree to comply with all applicable laws and regulations when using the Site and when purchasing products, including import/export controls, sanctions, and customs requirements. You must not use the Site or our products for unlawful purposes.

11) Disclaimers

The Site is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, SCIVAS disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected.

12) Limitation of liability

To the maximum extent permitted by law, SCIVAS and its affiliates, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Site, even if advised of the possibility of such damages. To the extent liability cannot be excluded, our total liability for claims related to the Site will not exceed USD 100.

13) Indemnification

You agree to defend, indemnify, and hold harmless SCIVAS and its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site, your User Content, or your violation of these Terms.

14) Privacy

Your use of the Site is also subject to our Privacy Policy, which explains how we collect and use information. Please review our Privacy Policy page for details.

15) Suspension and termination

We may suspend or terminate your access to the Site at any time if we reasonably believe you have violated these Terms, pose a security risk, or use the Site unlawfully. Sections that by their nature should survive termination (such as Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will survive.

16) Governing law and dispute resolution

These Terms are governed by the laws of the People’s Republic of China (excluding conflict-of-law principles). Any dispute arising from or relating to these Terms or the Site will be submitted to the competent courts in Guangzhou, Guangdong, China, unless otherwise required by applicable law.
